Terms of Service
These terms govern buying and using our services. They're written plainly on purpose — the same way we do everything. By purchasing, checking the box that you agree at checkout, or submitting an intake form, you agree to these terms and to the schedule for what you bought.
1. Your agreement
By purchasing a service, agreeing at checkout, or submitting an intake form, you agree to these terms and the specific Service Schedule for what you bought. If you don't agree, don't purchase. You confirm you're at least 18 and have authority to enter this agreement for the business you represent.
2. What we do — and what we don't
We build marketing websites and brand identity for owner-operated businesses — sites that generate calls, quotes, and inquiries, and the brand that goes on them.
Not included in any package, unless separately quoted in writing: online stores beyond 25 simple products; booking or scheduling systems; customer logins, accounts, or portals; quote calculators or configurators; and any integration with a point-of-sale, inventory, ERP, CRM, or billing system. Need one of those? Tell us first — we'll quote it or point you to someone who does it well.
Each service is defined by its Service Schedule (Section 12), which controls deliverables, price, timeline, revision rounds, and exclusions for that service.
3. Payment
- The Audit ($750) — paid in full at purchase. Credited in full toward any package bought within 90 days.
- Packages (Refresh, Rebuild, Rebrand, Rollout) — 50% deposit at purchase, 50% at delivery, before your site goes live or final files are released. The deposit is non-refundable.
- The Care Plan — a monthly subscription billed in advance, cancellable anytime (Schedule F).
- Prices are in U.S. dollars. Payment is handled by a third-party processor; we never receive or store your full card number.
- Work product stays our property until paid in full.
4. Timelines
Every timeline is measured from the date we receive all your content, not from the date you purchase.
5. Your content — and the 14-day deadline
You provide all content — copy, photos, logos, logins, and access — within 14 days of kickoff. If we don't have it by then, your project pauses and re-enters the schedule at the next opening when your content arrives. Deposits aren't refunded for paused projects, and a paused project doesn't keep its original delivery date.
You're responsible for having the rights to everything you give us, and you agree to cover us for claims arising from content you provided.
6. Revisions and scope
Each package includes a set number of revision rounds (see its Schedule). A round is one consolidated set of feedback delivered at once — not a running stream of requests. Additional rounds are $500 each.
Anything not listed in your Schedule isn't included. New requests during a build are quoted as add-ons and scheduled after launch; they don't delay your delivery date.
7. Ownership
Before final payment, everything we make for you stays the property of August Arc LLC — you can't use, launch, or publish it until it's paid in full.
Upon final payment, all deliverables from that engagement are yours, outright. For a Rebrand that includes your logo, wordmark, colors, type, and brand guide — yours to use anywhere, with any vendor, forever.
A Rebrand applies your brand to one surface — your website. Applying it to vehicles, signage, print, or apparel is the Rollout (Schedule E), quoted separately. We may show work we've done for you in our portfolio unless you ask us in writing not to.
8. Refunds and cancellation
The full detail is in our Refund & Cancellation Policy. In short: the Audit is non-refundable once delivered (but credited); package deposits are non-refundable; if we cancel for reasons other than your breach, we refund amounts paid for work not yet done; the Care Plan cancels anytime and runs through the paid month.
9. Warranties and disclaimers
We deliver what each Schedule describes, built to work on current major browsers and mobile devices as of delivery. Beyond the delivered deliverable, everything is provided "as is." We don't warrant business results — rankings, traffic, calls, or sales. Anyone who promises you a number is guessing. We're not responsible for third-party services (hosting, your domain registrar, the payment processor, analytics, Google) or their changes and outages.
10. Payments and third parties
Payment is handled by a third-party processor; we never receive or store your full card number. The site is hosted and forms handled by third-party providers. Your information passes through them as described in our Privacy Policy.
11. Limitation of liability
To the fullest extent Florida law allows, our total liability for any claim related to a service is limited to the amount you paid us for that service. We're not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, data, or business interruption — even if advised of the possibility.
12. Service Schedules
Each service is governed by its Schedule. Where a Schedule conflicts with these general terms, the Schedule controls for that service.
A · The Audit — $750
A written, ~10-page plain-English assessment: what's broken, in what order it matters, what each fix costs, and which package (if any) you need. Yours to keep. Paid in full; credited toward any package bought within 90 days. Non-refundable once delivered.
B · Refresh — $2,500
Restyle of your existing structure, up to 5 pages; copy pass; mobile fixes; speed/image optimization; Google Business Profile cleanup; working form; SSL check. One revision round. Excludes new logo, new brand, photography, new pages, e-commerce. 10 business days from content receipt. 50% / 50%.
C · Rebuild — $5,500
Everything in Refresh, plus a full rebuild up to 7 pages; new architecture and messaging; written copy; SEO foundation; analytics installed; one conversion path per page. Two rounds. Excludes brand identity, logo, photography, e-commerce; uses your existing logo. 3 weeks from content receipt. 50% / 50%.
D · Rebrand — $9,500
Everything in Rebuild, plus brand positioning and messaging; logo/wordmark, color, type; a one-page brand guide; photography art direction; up to 10 pages. Two rounds. Applies your brand to one surface — your website. Excludes photography execution, video, e-commerce, non-web applications. 5 weeks from content receipt. 50% / 50%.
E · The Rollout — $3,500
Design (not production) of your brand for non-web surfaces — vehicle graphics, signage, cards, apparel — as print-ready files you take to your own printer. Design only; printing, materials, and install are yours. 50% deposit / 50% on file delivery. Requires a completed brand.
F · The Care Plan — $150 or $350 / month
Optional ongoing hosting, security, backups, and uptime monitoring after launch, billed monthly in advance. Cancel anytime — coverage runs through the paid month, then no further billing; no refund of the current month. Without a Care Plan, support ends 30 days after launch. G · Add-ons
Priced from the published menu (extra page $350; copywriting/page $200; full copywriting $750; photo direction $500; logo only $3,500; simple storefront ≤25 products $3,500; GBP overhaul $500; extra revision round $500; rush +30%). Governed by these terms and the Schedule they attach to.
13. Termination
Either side may terminate for the other's material breach not cured within 14 days of written notice. On termination you pay for work performed to date; we deliver work you've paid for in full; each side returns the other's confidential materials on request.
14. Governing law and disputes
These terms are governed by the laws of the State of Florida. Any dispute will be brought exclusively in the courts located in Miami-Dade County, Florida, and you consent to their jurisdiction.
15. Changes
We may update these terms. The version in effect when you purchase governs that purchase. Material changes are posted here with a new effective date.
